How to raise capital via a Comparto

From structuring to subscription: the path of a raise through security issuance.

Raising capital through a Comparto follows a structured sequence, distinct from a conventional funding round or an informal private placement.

It starts with the feasibility review: the asset or strategy is analysed from a legal, financial and regulatory angle, to confirm that it can be issued in security form and to determine the most suitable format.

Structuring follows: drafting the documentation of the Comparto, appointing the agents, and defining the precise terms of the security.

The Comparto is then created and an ISIN is assigned to it, opening access to standard settlement channels. At that point the security is technically ready to be subscribed.

The raise itself then depends on the chosen distribution channel: direct presentation to an identified network of investors, or broader distribution where the placement regime allows it. Subscriptions arrive through the investors' own custodian banks.

Once the raise closes, the security enters its ongoing life: deployment into the underlying asset, then periodic monitoring.
